TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL GREEDY GRASS, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, OR PAIN AND SUFFERING, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE WEBSITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE WEBSITE OR SUCH OTHER WEBSITES, OR ANY FEATURES OR ITEMS OBTAINED THROUGH THE WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF FORESEEABLE.

10. Indemnification

You agree to defend, indemnify, and hold harmless Greedy Grass, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of this Agreement; (b) your use of the Website, including your User Contributions; or (c) your misuse of any content, features, or information obtained from the Website.

11. Governing Law and Jurisdiction

All matters relating to the Website and this Agreement, and any dispute or claim arising out of or related to them, shall be governed by and construed in accordance with the internal laws of the State of Michigan, without regard to its conflict of laws principles.

Except as otherwise provided below regarding arbitration, you and Greedy Grass agree to submit to the exclusive jurisdiction of the state and federal courts located in Michigan for any matter that is not subject to arbitration and to waive any objection to venue or forum non conveniens in such courts.

12. Arbitration

Any dispute, controversy, or claim arising out of or relating to this Agreement or the Website shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, except as modified herein. The arbitration shall take place in Michigan or remotely by video conference at the arbitrator’s discretion. The arbitrator shall have exclusive authority to resolve disputes regarding the interpretation, applicability, enforceability, or formation of this Agreement. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Each party shall bear its own attorneys’ fees and costs and shall share equally the arbitrator’s fees and administrative costs, unless the arbitrator determines otherwise. YOU UNDERSTAND AND AGREE THAT YOU ARE WAIVING THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

At Greedy Grass’s sole discretion, we may require that any dispute arising from or related to your use of the Website be submitted to final and binding arbitration under the AAA rules applying Michigan law.

13. Limitation on Time to File Claims

ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE WEBSITE MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM ACCRUES; OTHERWISE, IT IS PERMANENTLY BARRED.

14. Waiver and Severability

No waiver by Greedy Grass of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Greedy Grass to assert a right or provision under this Agreement shall not constitute a waiver of such right or provision. If any provision of this Agreement is held invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions continue in full force and effect.

15. Entire Agreement

This Agreement, together with our Privacy Policy and any other policies or terms posted on the Website, constitutes the complete and exclusive agreement between you and Greedy Grass regarding the Website and supersedes all prior and contemporaneous understandings or agreements, whether written or oral, concerning the Website.
